Terms, Privacy & Refunds

This page sets out the Terms of Service, Privacy Policy, and Refund Policy for Signal5 Consultancy. Signal5 provides dedicated US network infrastructure consultancy services for European businesses and independent professionals. Please read each section carefully before proceeding with your engagement.

Section 01

Terms of Service

1. Agreement to Terms

By booking a consultation or engaging Signal5's services, the Client agrees to be bound by these Terms of Service in full. If you do not agree with any part of these terms, you must not proceed with your engagement. These terms constitute the entire agreement between Signal5 and the Client and supersede any prior communications or representations.

2. Description of Service

Signal5 is an independent network infrastructure consultancy based in Ireland. We provide the architectural design, personal deployment, and ongoing professional oversight of dedicated private US network connections for European businesses and independent professionals. Signal5 is a technical consultancy — not a telecommunications provider, internet service provider, or software product. All infrastructure is provisioned within the Client's own private environment. Signal5 does not own or operate the underlying infrastructure on the Client's behalf.

3. Consultation-First Engagement

Every Signal5 engagement begins with a consultation. Pricing is confirmed during or before the consultation call. No payment is taken until the Client has been fully briefed on the scope of service and has confirmed they wish to proceed. Proceeding to payment constitutes acceptance of these terms in full.

4. Service Delivery & Verification

Service delivery is defined as the successful completion of Signal5's six-step deployment process, conducted with the Client on a live FaceTime session. Final delivery is verified at the close of the onboarding call, at which point the Client's dedicated US connection is confirmed operational. Once verified and signed off on the live call, the service is deemed fully rendered and completed. The Client will be asked to confirm receipt of the completed service by email, which constitutes the formal handover of the provisioned environment.

5. Client Responsibilities

The Client is solely responsible for:

  • Ensuring their use of the provisioned infrastructure complies with all applicable laws and any relevant third-party terms of service.
  • Maintaining the hardware environment as specified during onboarding, including device configuration and the absence of conflicting network signals.
  • All running costs incurred within their own infrastructure environment, billed directly to the Client by the infrastructure provider.
  • Providing accurate and complete information during consultation and onboarding.
  • Notifying Signal5 promptly of any change in circumstances that may affect service delivery or ongoing oversight.

6. Environment Integrity & Client-Side Compliance

The stability and integrity of the provisioned connection relies on the Client maintaining a controlled hardware and software environment as configured during onboarding. Signal5 accepts no liability for connectivity inconsistencies, network irregularities, or service degradation resulting from:

  • Hardware Configuration: Introduction of conflicting local network configurations or signals that compromise the integrity of the provisioned connection after deployment.
  • Metadata Management: Failure to maintain location metadata compliance as configured during onboarding.
  • Software Tampering: Unauthorised modification of Client-side routing configurations, network protocols, or device settings.
  • Unsanctioned Changes: Any alteration to the configured environment without prior consultation with Signal5.

7. Infrastructure Ownership

The Client retains full ownership and administrative control of their own infrastructure environment at all times. Signal5's role is strictly limited to advisory configuration, architectural deployment, and ongoing oversight. Signal5 acts solely as a technical consultant under the Client's direction and does not assume ownership, liability, or operational responsibility for the Client's infrastructure environment.

8. Acceptable Use

The provisioned infrastructure must not be used for any illegal activity, fraudulent conduct, or any purpose that violates applicable law. Signal5 reserves the right to suspend or terminate service immediately upon becoming aware of any such use, without obligation to provide notice or refund.

9. Platform Disclaimer

Signal5 is an independent technical consultancy. We are not affiliated with, endorsed by, or partnered with any third-party platform, service provider, or network operator. The Client acknowledges that their use of any third-party service or platform via the provisioned infrastructure is the Client's sole responsibility. Any risk associated with such use — including but not limited to service restrictions, account enforcement, or policy changes by third-party operators — is voluntarily assumed by the Client. Signal5 accepts no liability for any such outcomes.

10. Limitation of Liability

Signal5's total liability to the Client for any claim arising under or in connection with this agreement shall not exceed the amount paid by the Client for the most recent service period. Signal5 is not liable for:

  • Service interruptions caused by upstream infrastructure providers or third-party operators.
  • Hardware failure, software incompatibility, or changes to the Client's environment made without Signal5's knowledge.
  • Policy changes, enforcement actions, or service restrictions implemented by any third-party platform or service.
  • Any indirect, incidental, consequential, or punitive damages of any kind.

11. Consequential Loss

Under no circumstances shall Signal5 be liable for lost profits, loss of business revenue, loss of data, loss of commercial opportunity, or any indirect, incidental, or punitive damages — regardless of the cause of action or whether Signal5 was advised of the possibility of such loss. This limitation applies to the fullest extent permitted by applicable law.

12. Client Indemnification

The Client agrees to indemnify, defend, and hold harmless Signal5, its founders, directors, and any associated personnel from and against any and all claims, proceedings, damages, liabilities, costs, and legal fees arising from or related to:

  • The Client's use of the provisioned infrastructure.
  • Any violation of third-party terms of service, applicable law, or the rights of any third party by the Client.
  • Any misrepresentation made by the Client during consultation or onboarding.

This indemnification obligation survives the termination of the engagement.

13. Termination & Right of Refusal

Either party may terminate the ongoing retainer at any time by providing written notice by email to hello@signal5.io. Cancellation stops future billing but no pro-rata refund is issued for the current billing period already commenced.

Signal5 reserves the right to suspend or terminate service immediately and without notice in the event of a breach of these terms, a payment failure, or conduct deemed detrimental to Signal5 or any third party.

Signal5 further reserves the right, at its sole discretion, to refuse, decline, or discontinue service to any prospective or existing client at any time, for any reason, without obligation to provide justification or refund where service has been delivered.

14. No Partnership or Agency

Nothing in this agreement creates a partnership, joint venture, franchise, employment, or agency relationship between Signal5 and the Client. Signal5 operates as an independent contractor providing professional technical consultancy services.

15. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Ireland. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the Irish courts. If you are engaging from outside Ireland, you agree that Irish law applies to your engagement with Signal5.

16. Amendments

Signal5 reserves the right to update these terms at any time. Updated terms will be published on this page with a revised date. Continued use of our services following any update constitutes acceptance of the revised terms.

Section 02

Privacy Policy

1. Our Approach to Privacy

Signal5 operates under a strict minimum-data model. We collect only what is necessary to deliver our professional consultancy service. We do not sell, trade, or share your personal data with any third-party marketing or data-mining firm.

2. Data We Collect

We collect only the following categories of data:

  • Identity Data: Your name and professional email address, used for communication and billing.
  • Technical Credentials: Temporary infrastructure access credentials provided by the Client during the onboarding session, strictly for the purpose of architectural deployment. These are not retained beyond the active oversight period.
  • Billing Data: All payment transactions are processed securely via Stripe. Signal5 does not store or have access to your full payment card details.
  • Communication Records: Records of consultation and support communications, retained for service continuity and compliance purposes.

3. Zero-Traffic Retention Policy

Signal5 is a consultancy, not a data carrier. We do not log, store, monitor, or inspect the content of any data traffic flowing through the Client's provisioned infrastructure. Your network traffic flows directly through your own private environment. Signal5 has no technical visibility into your browsing activity or data packets.

4. How We Use Your Data

Your data is used exclusively to:

  • Deliver, manage, and maintain your provisioned infrastructure.
  • Communicate with you regarding your engagement.
  • Process payments securely via Stripe.
  • Comply with our legal obligations under Irish and EU law.

5. Third-Party Processors

Signal5 uses the following industry-standard third-party processors:

  • Stripe: For secure, PCI-DSS compliant payment processing. Stripe's privacy policy governs their handling of your payment data.
  • Calendly: For consultation booking. Calendly's privacy policy governs any data collected through the booking process.
  • Infrastructure Provider: For hosting and provisioning within the Client's own account. Signal5 does not own the infrastructure environment.

6. Oversight Access

To fulfil our obligations under the ongoing oversight retainer, Signal5 maintains limited technical access to the Client's provisioned environment. This access is used strictly for monitoring connection health, performing integrity checks, and managing scheduled optimisation. Signal5 does not access Client data, files, or communications. Our oversight is limited exclusively to the technical stability of the provisioned connection.

7. Data Retention

Personal data is retained for the duration of the engagement and for a period of two years thereafter, in accordance with our legal and compliance obligations. Technical credentials provided during onboarding are deleted upon termination of the engagement. You may request earlier deletion by contacting hello@signal5.io.

8. Your Rights (GDPR & Irish Data Protection Act)

As an Irish-based consultancy, Signal5 complies with the EU General Data Protection Regulation (GDPR) and the Irish Data Protection Acts 1988–2018. You have the right to:

  • Access the personal data we hold about you.
  • Request correction of any inaccurate data.
  • Request erasure of your data, subject to our legal retention obligations.
  • Object to or restrict the processing of your data.
  • Lodge a complaint with the Data Protection Commission of Ireland at dataprotection.ie.

Section 03

Refund Policy

1. Setup & Deployment Fee

The initial setup fee is a professional service charge covering the architectural design, personal deployment, and the 1-on-1 FaceTime onboarding session.

  • Pre-Onboarding Cancellation: A full refund will be issued if the Client cancels their engagement at least 24 hours before the scheduled onboarding session, provided that no preparatory work has commenced.
  • Post-Onboarding: Once the FaceTime onboarding session has commenced and the six-step deployment process has been initiated, the setup fee is non-refundable. Specialised professional labour has been rendered and the service is considered in delivery.
  • Post Sign-Off: Once the live sign-off has been completed and the Client has confirmed the service is operational, the setup fee is 100% non-refundable. The service has been fully delivered.

2. Monthly Oversight Retainer

The monthly oversight retainer covers ongoing connection health monitoring, performance oversight, cost scheduling, and direct support.

  • Retainer fees are billed in advance and are non-refundable once the billing cycle has commenced.
  • Cancellation stops future billing. No pro-rata refund is issued for the current period already charged.
  • To cancel, email hello@signal5.io at least 7 days before your next billing date.

3. Verification of Service Delivery

Upon completion of the live deployment session, the Client will be asked to confirm by email that their US connection has been verified as operational. This confirmation constitutes the formal handover of the provisioned environment and confirms that the service has been successfully delivered in full. Once this confirmation is received, no refund claim may be raised in respect of the setup or deployment fee.

4. Chargebacks & Payment Disputes

Signal5 maintains detailed records of all consultations, deployment sessions, and service verifications. In the event of a chargeback or payment dispute, Signal5 will provide to the relevant payment processor documented evidence of service delivery including session records, confirmation emails, and deployment verification. Clients are encouraged to contact hello@signal5.io directly to resolve any concern before initiating a dispute.

5. How to Request a Refund

To request a refund where eligible, email hello@signal5.io with your name, engagement date, and the reason for your request. Our team aims to respond to all requests within 2 business days.
